While your organization debated policies, drafted frameworks, and scheduled committee meetings—your employees were already using ChatGPT, Copilot, and a dozen other AI tools to get their jobs done. They weren’t being rebellious. They were being efficient.
The governance conversation is starting from a false premise. We keep acting like AI adoption is something we can plan for, approve, and roll out. That ship sailed in 2023.

Why “Shadow AI” Is a Misleading Term
We call it “shadow AI” like it’s some nefarious underground operation. It’s not.
It’s your marketing team using AI to draft email campaigns. Your sales rep using it to prep for calls. Your developers using it to debug code. Your HR team using it to screen resumes faster.
They’re not hiding anything. They’re just doing their jobs with better tools. The “shadow” part is our failure to see what was already obvious.
The failure isn’t employees using AI. It’s pretending AI adoption needs permission to exist. Governance has to assume AI is already there—and work backward from reality.
Why SMBs Are More Exposed
Big companies mess up AI governance. SMBs mess it up faster.
Why? The same reasons SMBs struggle with every governance challenge:
- Less process. No formal approval workflows. No change management. Things just happen.
- Less visibility. No CASB. No DLP. No idea what data is going where.
- More shared logins. That “company ChatGPT account” everyone uses? That’s a single point of exposure.
- More “just get it done.” Urgency trumps security every time.
Same risks as enterprises. Just fewer guardrails.

This isn’t hypothetical. It’s already happening. Customer data pasted into public AI tools. Proprietary code shared with coding assistants. Confidential financial projections fed into ChatGPT “just to format it better.”
Every one of those interactions is a potential breach waiting to be discovered—or exploited.
Why Policy-First Approaches Fail
The instinct is to write a policy. “No unauthorized AI tools.” Simple, right?
Wrong. Here’s why policy-first fails:
- You can’t enforce what you can’t see. If you don’t know what AI tools are being used, your policy is just a PDF gathering dust.
- Blanket bans drive adoption underground. People don’t stop using tools that make them 10x more productive. They just stop talking about it.
- Policies assume awareness. Most employees have no idea they’re creating risk. They think AI tools are just… tools.
What Governance Should Actually Look Like
Effective AI governance doesn’t start with rules. It starts with reality.
Reality-First AI Governance
- Discover first. Understand what AI tools are already being used before you write a single policy.
- Classify by risk. Not all AI usage is equal. Customer data in ChatGPT is different from using AI to brainstorm taglines.
- Enable the safe path. If people need AI to do their jobs, give them approved options that actually work.
- Monitor continuously. This isn’t a one-time audit. It’s an ongoing program.
- Build evidence. Auditors don’t care about your intentions. They care about proof.
The MSP Opportunity
Here’s where this gets interesting for MSPs.
Your clients don’t have the visibility, tooling, or expertise to govern AI themselves. They’re going to call you. They already are.
“How do I know what AI tools my employees are using?”
“What’s our policy supposed to say?”
“Are we exposed? How bad is it?”
AI governance is becoming the next managed service. The MSPs who figure this out first own the relationship for the next decade.
